Hong Kong Exchanges and Clearing Limited and The Stock Exchange of Hong Kong Limited take no responsibility for the contents of this announcement make no representation as to its accuracy or completeness and expressly disclaim any liability whatsoever for any loss howsoever arising from or in reliance upon the whole or any part of the contents of this announcement.New Sparkle Roll International Group Limited新耀莱国际集团有限公司 (Incorporated in Bermuda with limited liability) (Stock Code: 970) CLARIFICATION ANNOUNCEMENT Reference is made to the announcements of New Sparkle Roll International Group Limited (the “Company”) respectively dated 11 April 2024 (the “11 April 2024 Announcement”) and 22 April 2024 (the “22 April 2024 Announcement”) in relation to among others (i) information relating to the adjournment of the special general meeting of the Company from 8 April 2024 to 23 April 2024 and (ii) inside information concerning the appointment of joint provisional liquidators and the announcement of the Company dated 29 April 2024 in relation to the 11 April 2024 Announcement and the 22 April 2024 Announcement.Based on and upon considering all information and materials currently available to the Company including but not limited to (i) the “serious allegations” made against Mr. Sze Ching Lau (“Mr. Sze”) and his son as disclosed in the 11 April 2024 Announcement and (ii) the confidential document received by the Company as disclosed in the 22 April 2024 Announcement which was allegedly leaked out by a serving individual of the Hong Kong regulator with an aim of assisting various alleged perpetrators to escape their legal liabilities and criminal investigation the board (the “Board”) of directors of the Company (the “Directors”) has come to the view that there is neither any conclusive evidence of Mr. Sze’s involvement in the fraudulent scheme as alleged in the 11 April 2024 Announcement and the 22 April 2024 Announcement nor any direct connection or clear causal relationship between the alleged scheme and Mr. Sze and/or his associates. 1The Board hereby withdraws and retracts the statements concerning or made against Mr. Sze and his son as alleged or mentioned in the 11 April 2024 Announcement and the 22 April 2024 Announcement (the “Statements”) and wishes to extend its sincere apology for any misunderstanding or inconvenience caused to Mr. Sze and his son as a result of the Statements.
