(the ‘‘Company’’) pursuant to Rule 13.51(1) of the Rules Governing the Listing of Securities on The Stock Exchange of Hong Kong Limited (the ‘‘Listing Rules’’) in relation to the amendments of the memorandum and articles of association of Company (the ‘‘Memorandum and Articles of Association’’) and adoption of the amended and restated memorandum and articles of association of the Company (the ‘‘New Memorandum and Articles of Association’’).The board of directors of the Company (the ‘‘Board’’) has proposed to amend the existing Memorandum and Articles of Association and to adopt the New Memorandum and Articles of Association to (i) comply with amendments made to the Listing Rules in respect of the electronic dissemination of corporate communications by listed issuers which came into effect on December 31 2023; and (ii) make other consequential and housekeeping amendments.The proposed amendments and adoption of the New Memorandum and Articles of Association shall be subject to the approval of the shareholders of the Company (the ‘‘Shareholders’’) by way of a special resolution at the forthcoming annual general meeting of the Company to be held on Friday August 30 2024 (the ‘‘AGM’’).
