(the “Company”) refers to its announcement dated March 13 2024 in respect of the final results of the Company for the year ended December 31 2023 (the “Announcement”) and the circular issued by the Company on April 19 2024. As disclosed in the Announcement the board of directors of the Company (the “Board”) recommended that a cash distribution (the “Distribution”) in the amount of US$150 million or approximately US$0.1034 per share (before tax) based on the number of shares outstanding as of the date of the Announcement be made to the Company’s shareholders (the “Shareholders”) from its ad hoc distributable reserve. The Distribution was approved by the Shareholders at the Company’s annual general meeting on June 6 2024. The Distribution will be paid net of applicable Luxembourg withholding tax. The current rate of Luxembourg withholding tax to be applied to the Distribution is 15%. Shareholders should seek independent professional advice in relation to the procedures and timing for obtaining a refund of or tax credit with respect to Luxembourg withholding tax if applicable.The Board announces that the Distribution in the amount of US$150 million or approximately US$0.1026 per share (before tax) or approximately US$0.0872 per share (after tax) based on the number of shares outstanding as of the record date of the Distribution on June 17 2024 will be paid on July 16 2024.The Distribution will be paid in US dollars except that payment to the Shareholders whose names appear on the register of members in Hong Kong will be paid in Hong Kong dollars at the exchange rate of US$1 to HK$7.7805 being the opening buying rate of Hong Kong dollars to US dollars as announced by the Hong Kong Association of Banks (www.hkab.org.hk) on the date of approval of the Distribution on June 6 2024.
