Ltd. (the “Company”) dated May 10 2024 in relation to among others the change of secretary to the Board and the joint company secretary of the Company (the “Announcement”). Unless otherwise defined herein capitalized terms used herein shall have the same meanings as those defined in the Announcement. As previously disclosed the appointment of Mr. Yin Zhongxing (“Mr. Yin”) as the secretary to the Board and joint company secretary of the Company is subject to his passing of the qualification test for senior management of securities firms and the Stock Exchange’s waiver from the qualifications for appointment as company secretary.Recently the Company received Mr. Yin’s certificate of passing the qualification test for senior management of securities firms. Mr. Yin has officially assumed the duties of secretary to the Board and joint company secretary of the Company since July 12 2024.Pursuant to Rule 8.17 of the Listing Rules a listed issuer must appoint a company secretary who meets the requirements under Rule 3.28 of the Listing Rules. Rule 3.28 of the Listing Rules provides that a listed issuer must appoint as its company secretary an individual who in the opinion of the Stock Exchange is capable of discharging the functions of company secretary of the listed issuer by virtue of his/her academic or professional qualifications or relevant experience.Considering Mr. Yin’s experience in the fields of corporate operation administrative affairs business operation in the security industry and regulatory compliance his nexus to the Board and close working relationship with the management of the Company and his solid educational background the Board believes that Mr. Yin is capable of performing the duties as the Company’s joint company secretary. As Mr. Yin currently does not possess the qualifications of a company secretary as required under Rule 3.28 of the Listing Rules the Company has applied to the Stock Exchange for a waiver from strict compliance with the requirements under Rules 3.28 and 8.17 of the Listing Rules in respect of the appointment of Mr. Yin as a joint company secretary of the Company. The Stock Exchange granted a waiver (the “Waiver”) from strict compliance with Rules 3.28 and 8.17 of the Listing Rules which shall be effective for a period of three years from the date of appointment of Mr. Yin (the “Waiver Period”) on the conditions that (i) Mr. Yin must be assisted by Ms. Mok Ming Wai (“Ms. Mok”) the other joint company secretary who meets the requirements under Rules 3.28 and 8.17 as a joint company secretary during the Waiver Period; and (ii) the Waiver could be revoked if there are material breaches of the Listing Rules by the Company. The Stock Exchange may withdraw or change the waiver if the Company’s situation changes. 1A further waiver will not be required if the Company before the end of the Waiver Period is able to demonstrate and obtain confirmation from the Stock Exchange that Mr. Yin having the benefit of Ms. Mok’s assistance during the Waiver Period has attained the relevant experience and is capable of discharging the functions of company secretary under Rule 3.28 of the Listing Rule.The biographical details of Mr. Yin are as follows: Mr. Yin Zhongxing was appointed as the secretary of the Board joint company secretary of the Company and securities affairs representative on May 2024 and has officially assumed duties since July 2024. His primary working experiences include: senior research assistant of Beijing Institute of Securities and Futures (北京证券期货研究院) from July 2013 to August 2015 senior research assistant and member of the labor union of China Institute of Finance and Capital Markets from August 2015 to August 2017 assistant researcher deputy secretary and secretary of the Youth League Committee of China Institute of Finance and Capital Markets from August 2017 to July 2020 and executive director of the Strategic Development Department since joining the Company in August 2020 and general manager of the office of the Board of the Company since September 2022. Mr. Yin obtained a bachelor’s degree in engineering from Beijing Forestry University in July 2010 and a master’s degree in economics from Peking University in January 2014.
