Ltd.*嘉兴市燃气集团股份有限公司 (A joint stock company incorporated in the People’s Republic of China with limited liability) (Stock Code: 9908) SUPPLEMENTAL ANNOUNCEMENT CONNECTED TRANSACTION IN RELATION TO LANDSCAPE CONSTRUCTION AGREEMENT Reference is made to the announcement of JiaXing Gas Group Co. Ltd.* (the “Company”) dated 8 July 2024 (the “Announcement”) in connection with the connected transaction in relation to the Landscape Construction Agreement. Unless otherwise specified or the context requires otherwise capitalised terms used herein shall have the same meanings as those defined in the Announcement.The Board would like to provide further details about the determination of the contract price under the Landscape Construction Agreement as follows.Yancheng Xingzhou had put the landscape construction project concerned out to tender. Jiaran Construction as the successful bidder out of all three was awarded the contract and entered into the Landscape Construction Agreement as contractor with Yancheng Xingzhou.As disclosed in the Announcement the contract price is determined in accordance with normal commercial terms with reference to market prices and price guidelines for similar services issued by local governments. The Board would like to add that Jiaran Construction had determined the bidding price through the following process: (i) Jiaran Construction had taken Yancheng Xingzhou’s project budget and the Bills of Quantities (BOQs) provided by Yancheng Xingzhou as the starting point. An upper limit of RMB15037092.57 was set by Yancheng Xingzhou on the bidding price.To the best of the knowledge information and belief of the Directors Yancheng Xingzhou had engaged an independent third-party consultant to prepare the relevant BOQs and to set the upper limit of the tender price in accordance with the applicable government guidelines; – 1 –(ii) for the part of the construction work to which pricing guidelines issued by the relevant governmental authorities apply Jiaran Construction had followed such guidelines in fixing the corresponding part of the bidding price. Such guidelines include (a) the Standard of Bills of Quantities and Valuation for Construction Works (GB50500- 2013)* (《建设工程工程量清单计价规范》(GB50500-2013)); (b) the Jiangsu ProvinceConstruction and Decoration Works Pricing Quotas (2014)* (《江苏省建筑与装饰工程计价定额》(2014版)); (c) the Jiangsu Provincial Pricing Quotas for Installation Works (2014)* (《江苏省安装工程计价定额》(2014版)); (d) the Jiangsu Province Municipal Engineering Pricing Quotas (2014)* (《江苏省市政工程计价定额》(2014版)); and (e) theJiangsu Province Construction Project Price Quotas (2014)* (《江苏省建设工程费用定 额》(2014版)). Item (a) above was jointly issued by the Ministry of Housing and Urban- Rural Development of the PRC (中华人民共和国住房和城乡建设部) and the General Administration of Quality Supervision Inspection and Quarantine of the PRC (中华人民 共和国国家质量监督检验检疫总局) and each of items (b) to (e) above was issued by the Jiangsu Provincial Department of Housing and Urban-Rural Development* (江苏省住房 和城乡建设厅); and (iii) for the part of the construction work in respect of which no relevant pricing guideline had been issued by the governmental authorities Jiaran Construction had made reference to the market prices of similar services published in Construction Pricing in Yancheng* (《盐城工程造价》) a periodical in the field published on a monthly basis by the JiangSu Engineering Cost Association (江苏省盐城市工程造价管理协会) as well as the costs of the relevant materials in the open market ascertained through market researches (including for example consultations and site visits).As detailed above within the boundary of the upper limit set by Yancheng Xingzhou the contract price under the Landscape Construction Agreement was determined in accordance with the pricing guidelines issued by the relevant governmental authorities and for the part of the construction work in respect of which there is no applicable governmental pricing guideline only the market prices of similar services. As the contract price accords with the requirements under the applicable laws and regulations and the prevailing market price the Board is of the view that the contract price is fair and reasonable.By order of the Board JiaXing Gas Group Co.
