Hong Kong Exchanges and Clearing Limited and The Stock Exchange of Hong Kong Limited take no responsibility for the contents of this announcement make no representation as to its accuracy or completeness and expressly disclaim any liability whatsoever for any loss howsoever arising from or in reliance upon the whole or any part of the contents of this announcement.(Incorporated in the Cayman Islands with limited liability) (Stock Code: 8221) POSITIVE PROFIT ALERT This announcement is made by Gaoyu Finance Group Limited (the “Company” together with its subsidiaries the “Group”) pursuant to Rule 17.10 of the Rules Governing the Listing of Securities on GEM (the “GEM Listing Rules”) of The Stock Exchange of Hong Kong Limited (the “StockExchange”) and the Inside Information Provision (as defined in the GEM Listing Rules) under Part XIVA of the Securities and Futures Ordinance (Chapter 571 Laws of Hong Kong).The board (the “Board”) of directors (the “Directors”) of the Company wish to inform the shareholders (the “Shareholders”) of the Company and potential investors that based on a preliminary review of the unaudited consolidated management accounts of the Group for the year ended 31 March 2024 (the “Period”) and information available to the Board the Group is expected to record a net profit of approximately HK$8490000 for the Period as compared with a net loss of approximately HK$9529000 for the year ended 31 March 2023 (the “Corresponding Period”).The Board considers that the turnaround from loss to profit was primarily attributable to (i) increase of commission income from securities dealing and brokerage services from approximately HK$1200000 for the Corresponding Period to approximately HK$2500000 for the Period; (ii) increase of fee and commission income from placing and underwriting activities from approximately HK$400000 for the Corresponding Period to approximately HK$2400000 for the Period; and (iii) increase of income from supply chain financing from approximately HK$2000000 for the Corresponding Period to approximately HK$8400000 for the Period.The information contained in this announcement is only a preliminary assessment by the management of the Company based on the unaudited consolidated management accounts of the Group for the Period and the information currently available to the Board which have not been audited by the auditor of the Company or reviewed by the audit committee of the Company.
