To consider and approve the audited consolidated financial statements of the 616656308 6252000 Company for the year ended 31 December 2023. (99.0%) (1.0%) 4. To consider and approve the financial report of the Company for the 616656308 6252000 year ended 31 December 2023 and the budget report of the Company (99.0%) (1.0%) for the year ending 31 December 2024. 5. To consider and approve the proposal of not distributing the 616656308 6252000 Company’s profit for the year ended 31 December 2023. (99.0%) (1.0%) 6. To consider and approve the re-appointment of Ernst & Young and 616656308 6252000 Ernst & Young Hua Ming LLP as the international auditors and the (99.0%) (1.0%) domestic auditors of the Company respectively to hold office until the conclusion of next annual general meeting of the Company and to authorise the Board to fix the remuneration of the auditors. 7. To consider and approve the granting of a general mandate to the 616656308 6252000 Board to allot issue and deal with additional domestic shares and H (99.0%) (1.0%) shares not exceeding 20% of each of the total number of issued domestic shares and H shares of the Company respectively and to authorise the Board to make amendments to the articles of association of the Company as it thinks fit so as to reflect the new share capital structure upon the allotment or issue of additional shares pursuant to the mandate.Notes: (a) As a majority of the votes were cast in favour of each of the ordinary resolutions numbered 1 to 8 the resolutions were duly passed as ordinary resolutions.(b) As more than two-thirds of the votes were cast in favour of the special resolution numbered 9 the resolution was duly passed as special resolution.(c) As at the date of the AGM the total number of issued shares of the Company and the total number of shares of the Company entitling the holders to attend and vote on the resolutions at the AGM was 946298370 shares comprising 673828770 domestic shares and 272469600 H shares.
