Unless otherwise defined capitalised terms used below shall have the same meanings as those defined in the Circular.POLL RESULTS OF THE EGM The Board is pleased to announce that the proposed ordinary resolutions (the ‘‘Ordinary Resolutions’’) as set out in the Notice of EGM were duly passed by the Shareholders by way of poll at the EGM held on 5 July 2024.The poll results of the Ordinary Resolutions proposed at the EGM are as follows: Number of votes Total number Ordinary Resolutions# (approximate %) of votes cast For Against (%) 1. In accordance with Rule 13.36(4) of the Listing Rules as the Company had no controlling Shareholder Mr. Yeung being an executive Director the Chairman and the Chief Executive Officer of the Company together with his associate(s) who are interested in an aggregate of 121858400 Shares or approximately 24.93% of the issued share capital of the Company as at the date of the EGM are required to abstain and have abstained from voting in favour of the Ordinary Resolutions to approve the Refreshment of General Mandate at the EGM. Accordingly the total number of Shares entitling the Shareholders to attend and vote for or against the Ordinary Resolutions at the EGM was 366910747 Shares.Save as disclosed above there were (i) no Shares entitling the Shareholders to attend and abstain from voting in favour of the proposed Ordinary Resolutions at the EGM as set out in Rule 13.40 of the Listing Rules; and (ii) no Shareholders required to abstain from voting at the EGM under the Listing Rules.
