Capitalised terms used in this announcement shall have the same meanings as those defined in the Circular.CHANGE OF COMPANY NAME BECOMING EFFECTIVE The Board is pleased to announce that subsequent to the approval of the Shareholders at the SGM held on 13 June 2024 the certificate of change of name and the certificate of secondary name were issued by the Registrar of Companies in Bermuda certifying that the name of the Company has been changed from “Termbray Industries International (Holdings) Limited” to “Zero FintechGroup Limited” and the secondary name in Chinese “零在科技金融集团有限公司” has been adopted in place of the unregistered Chinese name of “添利工业国际（集团）有限公司 ” and the new names have been entered into the register maintained by the Registrar of Companies in Bermuda with effect from 19 June 2024.The certificate of registration of alteration of name of registered non-Hong Kong company was issued by the Registrar of Companies in Hong Kong on 3 July 2024 confirming the registration of the Company’s new English and Chinese names of “Zero Fintech Group Limited” and “零在科技金融集团有限公司 ” respectively in Hong Kong under Part 16 of the Companies Ordinance (Cap.622 of the Laws of Hong Kong). 1CHANGE OF STOCK SHORT NAMEThe Shares will be traded on the Stock Exchange under the new stock short name of “ZEROFINTECH” in English and “零在科技金融 ” in Chinese and the existing stock short name of “TERMBRAY IND” in English and Chinese will no longer be used with effect from 9:00 a.m. on 19 July 2024. The Stock Code “00093” of the Company remains unchanged. EFFECT OF THE CHANGE OF COMPANY NAME The Change of Company Name will not affect any rights of the Shareholders. All existing Share certificates of the Company in issue bearing the former name of the Company will continue to be effective as evidence of title and valid for trading settlement registration and delivery purposes.Accordingly there will not be any arrangement for the exchange of the existing Share certificates for new Share certificates bearing the new name of the Company. Going forward the new Share certificates of the Company will be issued in the new name of the Company.CHANGE OF COMPANY LOGO The logo of the Company will be changed to to reflect the Change of Company Name with immediate effect.
